Craighill Wholesale Agreement

Effective Date: July 15, 2025

  1. Introduction

    1.1 Purpose of Agreement

    This Wholesale Agreement ("Agreement") establishes the terms and conditions under which Craighill, LLC ("Craighill") agrees to supply products to an approved wholesale partner ("Retailer"). The Agreement is designed to ensure a clear understanding of responsibilities, rights, and limitations for both parties.

    1.2 Definitions

    • Retailer: The approved business entity purchasing Craighill products for resale.

    • Products: Items designed, manufactured, or distributed by Craighill.

    • MSRP: Manufacturer's Suggested Retail Price.

  2. Eligibility & Account Approval

    2.1 Business Requirements

    Retailers must:
    Operate a legally registered business with a valid resale certificate or business license. Be engaged in reselling physical goods through a retail storefront, e-commerce platform, or design/trade practice.

    2.2 Application Review Process

    All wholesale applications are subject to approval by Craighill. We reserve the right to request additional documentation to verify the applicant's business status and relevance.

    2.3 Right to Refuse or Terminate

    Craighill reserves the right to deny, suspend, or terminate wholesale privileges at its sole discretion if the Retailer violates the terms of this agreement or acts in a way that may harm the Craighill brand.

  3. Ordering Terms

    3.1 Minimum Order Quantities (MOQs)

    • Opening Order Minimum: $500

    • Reorder Minimum: $250

    3.2 Reorder Policy

    Reorders must meet the minimum thresholds unless otherwise approved in writing.

    3.3 Backorders & Lead Times

    If items are unavailable, Craighill will provide an estimated restock date. Orders typically ship within 5-7 business days.

  4. Pricing & Payment

    4.1 Wholesale Pricing Structure

    Approved Retailers receive access to Craighill's wholesale pricing. Pricing is subject to change with 30 days' written notice.

    4.2 Payment Methods

    Payment must be made by credit card, ACH transfer, or other approved methods at the time of order unless net terms are arranged.

    4.3 Net Terms

    Net terms (e.g., Net 30) may be available upon approval. Late payments may result in suspension of wholesale privileges.

    4.4 Late Payments

    A late fee of 1.5% per month may be applied to past-due invoices.

  5. Shipping & Delivery

    5.1 Shipping Methods

    Craighill uses standard carriers. Shipping charges are calculated based on weight and destination.

    5.2 Lead Times & Fulfillment

    Orders are processed within 5-7 business days unless otherwise specified.

    5.3 International Orders

    International wholesale accounts are considered on a case-by-case basis. Duties, taxes, and fees are the Retailer's responsibility.

    5.4 Damaged or Lost Goods

    Retailers must report any damaged or missing goods within 5 business days of receipt. Claims made after this period may not be honored.

  6. Shipping & Delivery

    6.1 Return Policy

    Returns are not accepted unless the item is defective or sent in error. All sales are final.

    6.2 Defective Product Claims

    Defects must be reported within 7 days of receipt. Approved returns will be replaced or refunded at Craighill's discretion.

    6.3 Restocking Fees

    Returns due to customer error may incur a 15% restocking fee.
